Terms of Service

Ideios is a software service that helps users draft long-form writing with the assistance of large language models. The Service interviews you, organizes context from notes you provide, and generates draft text. Ideios is a tool; the user remains the author of record for any output they choose to use.

Ideios does not claim to be undetectable by AI-detection tools, plagiarism scanners, or any institution's review process. Ideios makes no representation that its output complies with the academic-integrity policy of any school, university, employer, publisher, or other institution. Ideios is not a service designed to circumvent academic, professional, or legal rules about authorship, attribution, or AI use.

You must be at least 13 years old to create an account. If you are under the age of majority in your jurisdiction, you represent that you have parental or guardian consent. You are responsible for the accuracy of the information on your account, the security of your password, and all activity that occurs under your account.

Student-tier pricing is available only to users with a valid .edu email address. We may verify eligibility at any time and downgrade or terminate accounts found to be misrepresenting eligibility.

You are solely responsible for using Ideios output in a manner that complies with every academic-integrity policy, honor code, course syllabus, employer policy, journal submission guideline, or other rule that applies to your work.

In particular, you agree that:

• You will check your institution's policy on AI assistance before submitting any work that incorporates Ideios output.
• You will disclose your use of AI assistance, including Ideios, when your institution, instructor, employer, publisher, or any applicable rule requires disclosure.
• You will not present Ideios output as solely your own work in any context where doing so would violate a policy that applies to you.
• You acknowledge that whether your specific use is permitted is a question for you and the institution that governs your work — not for Ideios.

Ideios is not responsible for, and disclaims all liability for, any academic, professional, employment, immigration, or disciplinary consequence arising from your use of Ideios output. If you are unsure whether your intended use is permitted, do not use Ideios for that work.

You retain all rights you have in the content you upload or paste into Ideios (your “User Content”), including notes, source materials, drafts, and final outputs. By using the Service, you grant Ideios a non-exclusive, worldwide license to host, store, process, and transmit your User Content solely as needed to operate the Service for you, including by sending it to the third-party AI and search providers we depend on (see Section 9).

We do not use your User Content to train any model. We do not sell your User Content.

Output produced by Ideios is generated by large language models and may contain factual errors, fabricated citations, biased framing, or other defects. You must independently verify any factual claim, citation, or quotation before relying on Ideios output. Ideios does not warrant that output will be accurate, complete, current, fit for any particular purpose, or free of errors.

You may not use the Service to:

• generate content that is illegal, defamatory, harassing, or sexually exploits minors;
• impersonate another person or misrepresent your affiliation;
• circumvent quota, rate-limit, or anti-abuse mechanisms;
• resell or redistribute the Service or output without our written permission;
• scrape, mirror, or use automated means to access the Service except via documented APIs.

We may suspend or terminate accounts that violate this section, with or without notice.

Paid subscriptions renew monthly until cancelled. You may cancel at any time through the customer portal; cancellation takes effect at the end of the current billing period and does not entitle you to a pro-rated refund. Quotas reset at the start of each calendar month for paid tiers.

Prices are subject to change with at least thirty (30) days' notice. Continued use after a price change constitutes acceptance of the new price.

The Service relies on third-party providers, including (without limitation) Anthropic for language-model inference, OpenAI for embeddings, Tavily for web search, Stripe for payments, Resend for email, Supabase for database hosting, and Vercel for application hosting. Your use of the Service is also subject to those providers' terms. We are not responsible for outages or defects caused by third-party providers.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL MEET ANY POLICY OF ANY INSTITUTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IDEIOS OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR ACADEMIC, PROFESSIONAL, OR DISCIPLINARY OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM AND (b) USD $50.

You agree to indemnify and hold harmless Ideios from any claim, demand, or damages arising out of (a) your User Content, (b) your use of Ideios output in violation of any institution's policy or applicable law, or (c) your breach of these Terms.

You may terminate your account at any time. We may suspend or terminate your account if we reasonably believe you have violated these Terms or if continued service exposes us to legal or operational risk. Upon termination, your right to use the Service ends; sections that by their nature should survive termination (including Sections 4, 5, 6, 10, 11, 12, and 14) will survive.

We may update these Terms from time to time. If we make a material change we will give notice through the Service or by email. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
